Terms of Service

1. Acceptance of Terms

By accessing the Rethink Research LLC website, purchasing services, or using any product or subscription offered by Rethink Research LLC ("Company," "we," "our," or "us"), you agree to these Terms of Service. If you do not agree, you may not use our services. These terms apply to all services provided by Rethink Research LLC, including the TN Grant Monitor subscription, grant research services, and strategic consulting.

2. Description of Services

2.1 Scope of Services

​

Rethink Research LLC provides grant research and strategic consulting services, including:

​

  • TN Grant Monitor: A subscription-based database and member portal providing curated grant opportunities, deadline tracking, saved grant management, and research intelligence for organizations working within Tennessee's criminal justice ecosystem. Subscriber acknowledges that the purchase is for the curated research data and information itself, and that any member portal or dashboard provided is incidental to the delivery of that information. 

  • Grant Research Services: Custom grant research, prospect identification, competitive grant analysis, and strategic funding strategy development.

  • Consulting Services: Strategic research, nonprofit organizational analysis, FOIA and public records research, and due diligence searches.

  • Additional Research Services: Specialized research on demand and custom projects.

Each service may have specific terms outlined in service agreements, scope documents, or purchase confirmations. These general Terms of Service apply unless superseded by service-specific documentation.

 

2.2 No Fundraising, Solicitation, or Donor Engagement

​

Rethink Research LLC does not engage in fundraising, solicitation, donor cultivation, donor management, or the direct submission of grant applications on behalf of clients unless expressly stated in a separate written agreement. All services are limited to research, analysis, strategic insight, and informational support. Clients retain full responsibility for fundraising activities, grant submissions, regulatory compliance, and all communications with funders.

3. License and Permitted Use

​

3.1 General

​

Your purchase of or subscription to any Rethink Research service grants you a limited, non-exclusive, non-transferable license to access and use the service for your own organizational purposes. You may not:

​

  • Resell, repost, or publicly distribute any proprietary data, research, or deliverables provided by Rethink Research.

  • Scrape, copy, or duplicate any database, research materials, or content for competitive purposes.

  • Access services via automated means (bots, spiders, scrapers) without written permission.

  • Reverse-engineer or attempt to derive proprietary methodologies from our research.

 

3.2 TN Grant Monitor Specific Terms

​

  • Individual License: Your subscription grants access to one individual user per seat purchased.

  • Organizational Use: You may share insights, specific grant opportunities, and research findings internally within your own organization.

  • Login Sharing: Login credentials may not be shared with individuals inside or outside of your organization. Additional seats may be purchased for team members.

  • Data Distribution: You may not distribute TN Grant Monitor listings or database content externally, to competitors, or to any third party.

  • Standardized Access: The member portal provides a standardized research view delivered identically to all subscribers. Subscribers may not modify, reverse-engineer, or use the portal to process, calculate, or manipulate external data or third-party information.

  • No Software Rights: Access to the member portal does not constitute a license to any underlying software, code, or applications. Portal access is granted solely as a temporary viewing mechanism for research data.

 

3.3 Grant Research and Consulting Services

  • Work Product Ownership: Unless otherwise specified in a written service agreement, deliverables provided as part of grant research or consulting services are the property of Rethink Research LLC and may not be redistributed or resold without permission. This restriction includes sharing research with consultants, contractors, partner organizations, affiliates, or any third party outside the client's organization.

  • Client-Specific Use: Research and consulting deliverables are created for the client's internal use only.

  • Confidentiality: All research, grant prospects identified, and strategic recommendations remain confidential unless the client grants explicit written permission to share or publish findings.

 

4. Fees, Billing, and Refunds

4.1 TN Grant Monitor Subscription

​

  • Billing Cycle: The TN Grant Monitor is offered on a quarterly billing cycle only. Fees are charged to your payment method on file at the beginning of each three-month billing period.

  • Price at Subscription: Plans are billed at the price in effect at the time of subscribing. Growth: $1,200 per quarter. Momentum: $2,400 per quarter.

  • Cancellation: You may cancel your subscription at any time through the Stripe Customer Portal (see Section 5). To avoid being charged for the next billing period, cancel before your renewal date. Cancellation takes effect at the end of your current paid period. Access continues until that date.

  • Refund Policy: All fees paid are non-refundable. We do not offer prorated refunds for partial billing periods used.

  • Digital Downloads: Subscription fees cover only the ongoing research and information service. Any separate digital downloads, templates, or supplemental materials offered outside the standard subscription are independent of the core service and will be billed separately where applicable.

 

4.2 Custom Services

​

  • Pricing and Payment Terms: Pricing for custom research and consulting services is quoted on a per-project basis. Payment terms, milestones, and deliverables are outlined in individual service agreements or proposals.

  • Deposits and Installments: A deposit or retainer may be required to begin work. Remaining fees may be structured as installments based on project milestones.

  • Refunds for Custom Services: Refund eligibility is determined on a case-by-case basis and outlined in the service agreement. Refunds are generally not available for work already completed.

 

4.3 Price Changes

​

  • Subscription Fee Changes: We reserve the right to increase subscription fees. We will provide at least 30 days' advance written notice via email before any price increase takes effect. Continued use of the service after the notice period constitutes acceptance of the new price.

  • Custom Service Clients: Price changes apply to new projects or renewals, not to active engagements unless mutually agreed in writing.

5. Stripe Customer Portal

​

TN Grant Monitor subscribers manage their billing through the Stripe Customer Portal, a secure Stripe-hosted interface accessible from the TN Grant Monitor member portal. Through the Customer Portal, you may:

​

  • Update your payment method

  • View billing history and download invoices

  • Cancel your subscription

​

Use of the Customer Portal is subject to Stripe's Terms of Service in addition to these Terms. Rethink Research LLC does not have access to the full payment details you enter in the Customer Portal.

6. Intellectual Property and Copyright

​

6.1 Our Intellectual Property

​

All content, databases, research materials, methodologies, research interfaces, and proprietary tools developed or provided by Rethink Research LLC are protected by United States and international copyright, trademark, and trade secret laws.

  • Copyright Notice: Copyright 2026 Rethink Research LLC. All rights reserved.

  • TN Grant Monitor Database: The database, including grant listings, categorizations, summaries, proprietary filters, and interface design, is the exclusive property of Rethink Research LLC.

  • Research Methodologies: Our research processes, analytical frameworks, and proprietary systems are confidential and protected as trade secrets.

 

6.2 Client Work Product

For custom research and consulting services, deliverables created specifically for a client remain the property of Rethink Research LLC unless a written agreement explicitly transfers ownership. Clients receive a non-exclusive license to use deliverables for their internal purposes.

 

6.3 Your Intellectual Property

​

You retain ownership of any information or data you provide to Rethink Research. By providing information, you grant us a limited license to use that data internally for service delivery, product improvement, and analytics.

7. Confidentiality

​

7.1 Our Commitment

​

  • Subscriber Data: We treat your saved grants, notes, search activity, funding interests, and organizational information as confidential.

  • Client Research Data: Information shared during custom research or consulting engagements is kept confidential and will not be disclosed to other clients or third parties without written consent.

  • No Third-Party Sharing: We do not sell, rent, or trade your personal, organizational, or research data to third parties for marketing or competitive purposes.

 

7.2 Your Commitment

  • Proprietary Data: You agree to treat all proprietary data accessed through our services as confidential. Unauthorized disclosure, sharing, or distribution of such data to any third party constitutes a material breach of these Terms.

  • Authorized Use Only: You agree to use our services strictly for your organization's internal purposes.

 

7.3 Exceptions

  • Legal Requirements: We may disclose information when required by law, government request, or court order, or to protect our legal rights.

  • Service Improvements: Aggregated, anonymized usage data may be used to improve our products and services.

 

7.4 Remedies for Breach

​

In the event of unauthorized disclosure, distribution, or misuse of Rethink Research LLC's proprietary or confidential information, we reserve the right to pursue all available legal remedies, including injunctive relief, damages, and recovery of reasonable attorneys' fees. Any such action shall be governed by the laws of the State of Tennessee and brought exclusively in the courts located within the State of Tennessee.

8. Termination

​

We reserve the right to suspend or terminate your account or service engagement immediately, without refund, if you:

​

  • Violate any provision of these Terms

  • Engage in unauthorized sharing of login credentials or proprietary data

  • Fail to pay fees or invoices on time

  • Resell or publicly distribute our proprietary data

  • Attempt to access portions of services you have not paid for

  • Engage in abusive, threatening, or illegal behavior toward our staff or other users

Upon termination, your access to all services will be revoked immediately, and all outstanding fees will remain due.

​

9. Disclaimer of Warranties

​

Our services are provided "as is" and "as available." While we strive for accuracy and quality:

​

  • We do not guarantee that every grant listing is error-free, current, or that applications will result in funding.

  • We do not warrant that our services will be uninterrupted, secure, or free of errors.

  • You are responsible for independently verifying all grant details, eligibility requirements, and deadlines directly with funders.

  • Research and recommendations provided are based on publicly available information and do not constitute legal, financial, or professional advice, nor do they constitute fundraising counsel or regulated charitable solicitation services. Clients acknowledge that they are solely responsible for how research outputs are used or applied.

 

10. Limitation of Liability

To the fullest extent permitted by law, Rethink Research LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages.

11. Governing Law

​

These Terms shall be governed by the laws of the State of Tennessee, without regard to its conflict of law provisions. Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of the State of Tennessee, and you consent to their jurisdiction and venue.

12. Amendments to Terms

​

We may update these Terms from time to time. Significant changes will be communicated via email or a prominent notice on our website. Your continued use of our services following such notice constitutes your acceptance of the updated Terms.
